By subscribing to or using PayNudger services, you agree to these Terms & Conditions.
1. About PayNudger
PayNudger provides simple automated follow-up tools for tradespeople, freelancers and small businesses.
Our services are designed to help users manage customer follow-ups such as invoice reminders, quote follow-ups, review requests, lead follow-ups, appointment reminders and customer reply follow-ups.
PayNudger is designed to work alongside the business tools you already use rather than replace your accounting, email, calendar or customer management systems.
2. Using PayNudger
By using PayNudger you agree to:

provide accurate information where required

use the service lawfully and responsibly

only send follow-ups to people you are entitled to contact

comply with applicable laws and regulations

keep any account, Customer Access or other access information provided to you secure.
You are responsible for the accuracy of the information you enter into PayNudger, including customer contact details, dates and other information used to schedule or send follow-ups.
You are also responsible for ensuring that you have an appropriate lawful basis for contacting the customers or other individuals whose details you submit to PayNudger.
3. Subscriptions and billing
PayNudger products are available on monthly or annual subscription plans.
Subscription prices and the applicable billing period are shown before you subscribe.
Payments are securely processed by Stripe. PayNudger does not store your full debit or credit card details.
Subscription charges are collected automatically in accordance with the billing cycle you select when subscribing.
Unless cancelled, your subscription will continue and renew automatically at the end of each billing period.
4. Cancelling your subscription
You may cancel your subscription at any time through the Stripe Customer Portal provided by PayNudger,
or by contacting us at hello@paynudger.co.uk.
Unless otherwise stated, cancellation takes effect at the end of your current paid billing period. You will normally retain access to the service until that period ends.
No further subscription payments will be taken after cancellation takes effect unless you choose to subscribe again.
Cancelling or stopping an individual customer follow-up within PayNudger is separate from cancelling your PayNudger subscription.
5. How the service works
PayNudger uses automated follow-up schedules appropriate to the Nudger you choose.
After you provide the required information, PayNudger uses that information to schedule and send the relevant follow-up emails automatically.
You remain responsible for updating or stopping a follow-up where circumstances change and the follow-up is no longer required.
Although PayNudger is designed to automate this process reliably, you should not rely on the service as the sole record of important financial, contractual, appointment or customer information.
6. Service availability
We aim to provide a reliable service at all times.
However, we cannot guarantee that PayNudger will always be available without interruption. From time to time, maintenance, updates, technical faults or disruption to third-party services may temporarily affect availability or the delivery of follow-ups.
Where reasonably possible, we will take appropriate steps to restore affected services.
7. Acceptable use
You must not use PayNudger:

to send unlawful, abusive, threatening or misleading messages

to harass or intimidate another person

to send messages where you do not have a lawful basis, permission or other legal right to contact the recipient

to deliberately provide false or misleading information

to attempt to gain unauthorised access to PayNudger or another user's access area

in any way that could damage, overload, disrupt or interfere with the service.
We reserve the right to suspend or terminate access where we reasonably believe these Terms & Conditions have been seriously or repeatedly breached.
8. Third-party services
PayNudger relies on trusted third-party services to provide parts of the service, including website hosting, payment processing, forms, automation, data storage and email delivery.
We are not responsible for temporary interruptions or failures caused solely by third-party services outside our reasonable control, although we will take reasonable steps to minimise disruption where possible.

9. Intellectual property
The PayNudger name, branding, website content, written materials and other original PayNudger content remain the property of PayNudger unless otherwise stated.
You may not copy, reproduce, distribute, modify or commercially exploit PayNudger content without prior written permission, except where permitted by law.
PAYNUDGER is the subject of a pending UK trade mark application.
The ™ symbol may be used in connection with PayNudger branding to indicate trade mark claims.
10. Limitation of liability
We take reasonable care to provide a reliable service, but PayNudger is a follow-up tool and does not guarantee that a customer will make a payment, accept a quote, leave a review, respond to a message, attend an appointment or take any other particular action.
PayNudger will not be responsible for losses that were not reasonably foreseeable when the contract was entered into, or for losses that were not caused by a breach by PayNudger.
Nothing in these Terms & Conditions excludes or limits any liability that cannot legally be excluded or limited, or any statutory rights that apply to you.
11. Refunds
We want you to be happy with PayNudger.
If you believe you have been charged incorrectly or experience a problem with your subscription, please contact us as soon as possible so we can investigate.
Refunds will be provided where required by law. We may also consider refund requests in other circumstances where we believe a refund is appropriate.
Nothing in this section affects your statutory rights, including any cancellation rights that apply to you.
12. Changes to PayNudger or these Terms
We may update, improve or modify PayNudger from time to time.
We may also update these Terms & Conditions where necessary, for example to reflect changes to the service, technology, legal requirements or the third-party services we use.
The latest version will be made available on this page and the "Last updated" date will be changed accordingly.
Where a change materially affects an existing subscription or a user's rights, we will take reasonable steps to provide appropriate notice where required.
13. Governing law
These Terms & Conditions are governed by the laws of England and Wales.
Any dispute arising in connection with these Terms & Conditions will be subject to the jurisdiction of the courts of England and Wales, except where applicable law gives you the right to bring proceedings elsewhere.

15. Data processing
Where you provide personal information about your customers or other contacts to PayNudger for the purpose of providing a follow-up service, you are the controller of that personal information and PayNudger acts as a processor on your behalf, to the extent that PayNudger processes that information solely to provide the service in accordance with your instructions.
Processing details
The subject matter of the processing is the provision of PayNudger's automated follow-up services. The processing continues for as long as reasonably necessary to provide those services and in accordance with our applicable retention arrangements.
The nature and purpose of the processing may include collecting, recording, storing, organising, retrieving, transmitting and deleting personal information as necessary to schedule, manage and send the follow-ups requested by you.
The personal information processed may include names, email addresses, dates, times, message content and other information you provide that is necessary for the relevant follow-up service.
The individuals concerned may include your customers, prospective customers, clients and other business contacts.
Your responsibilities
You are responsible for determining the purpose and lawful basis for processing the personal information you provide to PayNudger, for providing any privacy information required by law, and for ensuring that your instructions to PayNudger
comply with applicable data-protection law.
Our responsibilities
When acting as your processor, PayNudger will:
• process personal information only on your documented instructions, including in relation to international transfers, unless processing is required by applicable law;
• ensure that anyone authorised to process the information is subject to an appropriate duty of confidentiality;
• implement appropriate technical and organisational measures to protect the information;
• taking into account the nature of the processing, provide reasonable assistance to help you respond to requests from individuals exercising their data-protection rights;
• taking into account the nature of the processing and the information available to us, provide reasonable assistance with your obligations relating to security, personal-data breaches and data-protection impact assessments where applicable; and
• provide information reasonably necessary to demonstrate compliance with these data-processing obligations and allow for and contribute to reasonable audits or inspections where required by applicable data-protection law.
Sub-processors
You give PayNudger general written authorisation to use third-party service providers as sub-processors where reasonably necessary to provide the service. These may include providers of forms, automation, data storage and email services, including Tally, Make, Google and Microsoft.
PayNudger will ensure that appropriate contractual data-protection obligations are in place with its sub-processors as required by applicable data-protection law. We will provide reasonable notice of any intended material change to the sub-processors used to process your customer or contact information and give you a reasonable opportunity to object on data-protection grounds. PayNudger remains responsible for the performance of its obligations where processing is carried out by a sub-processor.
At the end of the processing
At the end of the relevant processing services, at your choice and where reasonably practicable, PayNudger will delete or return the personal information processed on your behalf and delete existing copies, unless applicable law requires its retention. Information contained in backups, system logs or recovery systems may remain for a limited period where immediate deletion is not practicable, provided that it remains protected and is subsequently deleted in accordance with the relevant retention process.
Nothing in this section removes or limits either party's own responsibilities under applicable data-protection law.
